The Head of Compliance is responsible for the development, implementation, and oversight of the Bank’s regulatory compliance framework. The role ensures that the Bank operates in line with all applicable  laws and regulations, MFSA expectations, and internal policies.

Acting as the Bank’s appointed Compliance Officer, the Head of Compliance works closely with senior management and the Board to manage compliance risks and support a strong culture of regulatory integrity.

Position: Head of Compliance

Primary Responsibilities:

• Serve as the Bank’s Compliance Officer, appointed in accordance with MFSA requirements, with overall accountability for ensuring that the Bank’s operations meet all applicable regulatory obligations.

• Design, implement, and maintain the Bank’s Compliance Monitoring Plan and Program, including policies, controls, and frameworks necessary to ensure regulatory compliance across all business units.

• Lead the development and execution of the Annual Compliance Monitoring Plan, ensuring regular and risk-based assessments of the Bank’s activities, and escalate findings and breaches promptly to senior management and the Board.

• Stay abreast of regulatory changes issued by the MFSA, EBA, ECB, and other relevant authorities; interpret new requirements and ensure their timely integration into the Bank’s internal processes and controls.

• Advise the CEO, Board of Directors, and Executive Team on compliance-related risks and implications associated with business strategies, product development, third-party engagements, and governance decisions.

• Draft and maintain internal policies, standards, and procedures, ensuring alignment with evolving conduct, prudential, governance, outsourcing, and product oversight requirements.

• Oversee the Bank’s compliance obligations relating to licensing conditions, outsourcing arrangements, conduct of business, consumer protection, product governance, and regulatory disclosures.

• Coordinate and manage regulatory inspections, thematic reviews, internal audits and ad hoc requests from the MFSA or other authorities, including preparation of responses, coordination with relevant stakeholders, and execution of any remedial actions.

• Monitor the effectiveness of compliance controls through regulartesting, issue tracking, and performance metrics, and ensure timelyimplementation of corrective actions where weaknesses are identified.

• Represent the Compliance Function on executive-level committees andgovernance fora, ensuring that compliance risks are appropriately discussed andintegrated into broader risk and business strategies.

• Develop and deliver internal training programs to raise awareness andunderstanding of regulatory requirements, compliance responsibilities, and therole of staff in upholding the Bank’s regulatory obligations.

• Act as a key point of contact for internal staff on day-to-daycompliance queries, supporting the interpretation and application of policiesand ensuring consistent decision-making across the Bank.

• Champion a strong culture of compliance and ethics across all levels of the organisation, setting the tone from the top and fostering an environment of accountability, transparency, and regulatory discipline.


Core Competencies:

• Solid understanding of MFSA regulatory framework, including conduct and governance rules.

•Strong analytical skills with the ability to identify and manage compliance risk.

•Excellent written and verbal communication skills for both internal and regulatory audiences.

•Organised and able to manage multiple regulatory priorities effectively.

•High integrity and professional independence, with sound judgment in complex situations.

•Collaborative mindset with the ability to influence across departments and at senior levels.

Education and Experience:

• Degree in Law, Finance, Business, or a related field.

• Recognised compliance qualification (e.g. ICA) is considered an asset.

• Minimum of 8 years' experience in financial services, with at least 3 in a senior compliance role.

• Prior experience managing MFSA relationships and regulatory inspections.

• Eligible to be approved by the MFSA as the Bank’s Compliance Officer.
